We are OneVeracity, constituting OneVeracity, LLC and its subsidiaries and affiliates (including Veracity Analytics, Inc., Veracity OnSite, LLC, Maple Leaf, LLC, Veracity Care Solutions, LLC, and Anchor Benefit Consulting, LLC ("Anchor")) (collectively, "OneVeracity," "Company," "we," "us," "our").

We operate the website www.oneveracity.com and www.anchorbenefit.com, and all affiliated URLs, subdomains and applications owned or operated by us (each, a "Site", and collectively, the "Sites"). These Terms and Conditions (the "Legal Terms") govern your use of the Sites, as well as any other related products and services that refer or link to the Legal Terms (collectively, the "Services").

OneVeracity provides unique healthcare strategies that are designed to help self-funded groups reduce costs while prioritizing top-quality care for their members. Anchor Benefit Consulting, LLC provides third-party administrative services to self-funded group health plans.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and OneVeracity, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you to changes by updating the "Last updated" date, and you waive any right to receive specific notice of each change. It is your responsibility to periodically review these Legal Terms.

The Services are intended for users who are at least 18 years old. We do not age-gate or verify the age of any users, and we rely on parents and guardians to supervise access and use of the Internet by individuals under 18.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation. Persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

We are the owner or licensee of all intellectual property rights included in the Services (the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"), protected by copyright and trademark laws and treaties. The Content and Marks are provided "AS IS" for your internal business purpose only.

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business purpose. No part of the Sites, Services, Content, or Marks may otherwise be copied, reproduced, republished, distributed, sold, or exploited for commercial purposes without our express prior written permission. By using the Services, you represent and warrant that: you have the legal capacity to comply with these Legal Terms; you are not a minor in your jurisdiction; you will not access the Services through automated or non-human means; you will not use the Services for any illegal or unauthorized purpose; and your use will not violate any applicable law or regulation.

You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to (among other things): systematically retrieve data to create a compilation without permission; trick, defraud, or mislead us or other users; circumvent security features; disparage or harm us or the Services; harass or abuse others using information from the Services; misuse support services; violate applicable laws; upload viruses or malicious code; engage in automated data mining or scraping; impersonate another user; interfere with or disrupt the Services; attempt to reverse engineer the Services; or use the Services to compete with us or for unauthorized commercial purposes.

We may provide opportunities to create, submit, post, or transmit content ("Contributions"). By submitting Contributions, you represent and warrant that they do not infringe third-party rights, that you have the necessary rights and consents to submit them, that they were not created with generative AI, and that they are not false, unlawful, obscene, harassing, or otherwise objectionable.

You agree that we may access, store, process, and use information and personal data you provide in accordance with our Privacy Policy and applicable law. By submitting Contributions, you grant OneVeracity a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right to use, reproduce, and distribute such Contributions, subject to applicable data protection law for any personal data contained within them. We do not assert ownership over your Contributions; you retain full ownership and are solely responsible for them.

We reserve the right to monitor the Services for violations of these Legal Terms, take appropriate legal action against violators, restrict or disable access to Contributions or the Services, remove excessive or burdensome content, and otherwise manage the Services to protect our rights and property.

The Services may include content, products, or services offered by third parties through hyperlinks. We have no control over such third-party websites and are not responsible for their content or practices. Review their terms and privacy policies before interacting with them.

We care about data privacy and security. Please review our Privacy Policy: www.anchorbenefit.com/privacy-policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States; if you access them from another region, your data will be transferred to and processed in the United States, and you consent to this.

These Legal Terms remain in effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason, without notice or liability, including for breach of these Legal Terms.

We reserve the right to change, modify, or remove the contents of the Services at any time without notice, and are not liable for any modification, suspension, or discontinuance. We cannot guarantee the Services will be available at all times.

These Legal Terms and your use of the Services are governed by the laws of the State of Georgia, without regard to conflict of law principles.

The parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days. If unresolved, disputes will be finally resolved by binding arbitration under JAMS' Comprehensive Arbitration Rules and Procedures, conducted in Cobb County, Georgia, governed by the Federal Arbitration Act. Arbitration is limited to individual disputes; class actions and representative proceedings are not permitted. Certain disputes (intellectual property, privacy/theft claims, injunctive relief) are excluded from arbitration. Any dispute must be brought within one year of the cause of action arising.

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct these and update information at any time without prior notice.

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW, AND MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT.

IN NO EVENT WILL WE BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO CEASE ALL USE OF THE SERVICES.

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand made by any third party due to or arising out of your use of the Services, breach of these Legal Terms, or violation of the rights of a third party.

We will maintain certain data that you transmit to the Services for managing performance and use of the Services. Although we perform regular backups, you are solely responsible for all data you transmit, and we have no liability for any loss or corruption of such data.

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree to the use of electronic signatures, contracts, and records.

These Legal Terms and any posted policies constitute the entire agreement between you and us. Our failure to enforce any right or provision is not a waiver of that right. If any provision is found unlawful or unenforceable, it is deemed severable and does not affect the remaining provisions. No joint venture, partnership, employment, or agency relationship is created by these Legal Terms.
